Welcome to Doerly. These Terms and Conditions govern your access to and use of the Doerly mobile application, website, and related services.
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
1. Eligibility
You must:
- Be at least 18 years old (or 13+ with parental consent, if permitted by law).
- Have the legal capacity to enter into a binding agreement.
- Not be prohibited from using the Platform under applicable laws.
We reserve the right to suspend or terminate accounts that do not meet eligibility requirements.
2. Nature of the Platform
Doerly provides a digital platform that allows users to:
- Create profiles
- Post, discover, or engage in activities, services, collaborations, or tasks
- Communicate with other users
- Share content
Doerly is not a party to any agreement between users. We do not:
- Guarantee quality, safety, legality, or accuracy of user content or services
- Employ, endorse, or supervise users
- Provide professional, financial, legal, or medical advice
Users engage with each other at their own risk.
3. Account Registration
To use certain features, you must create an account.
You agree to:
- Provide accurate and complete information
- Maintain confidentiality of login credentials
- Notify us immediately of unauthorized use
You are fully responsible for activity under your account.
4. User Conduct
You agree NOT to:
- Violate any laws or regulations
- Post false, misleading, defamatory, or harmful content
- Infringe intellectual property rights
- Harass, threaten, or abuse other users
- Upload malware or attempt to hack the Platform
- Circumvent payment systems or platform safeguards
- Engage in fraud, scams, or deceptive practices
We reserve the right to remove content and suspend or terminate accounts at our sole discretion.
5. User Content & License
You retain ownership of content you post.
By posting, you grant Doerly a:
- Worldwide
- Non-exclusive
- Royalty-free
- Transferable
- Sub-licensable license
To use, reproduce, display, distribute, and promote such content for operating and marketing the Platform.
You represent that:
- You own or have rights to the content
- The content does not violate third-party rights
We may remove content that violates these Terms.
6. Payments & Fees (If Applicable)
If the Platform enables payments:
- All fees are clearly displayed before purchase.
- Payments may be processed through third-party providers.
- We are not responsible for payment processor errors.
- All sales are final unless otherwise stated.
- We may charge service fees or commissions.
Users are responsible for:
- Taxes applicable to transactions
- Compliance with local tax laws
7. No Employment Relationship
Nothing in these Terms creates:
- Employment
- Partnership
- Joint venture
- Agency relationship
Users operate independently.
8. Assumption of Risk
You acknowledge that:
- Interactions with other users involve inherent risk.
- We do not conduct full background checks (unless explicitly stated).
- You are responsible for your own safety and due diligence.
Doerly is not liable for:
- Injury
- Loss
- Damage
- Disputes between users
9. Dispute Resolution Between Users
Doerly is not obligated to resolve disputes between users.
However, we may:
- Facilitate communication
- Suspend accounts involved in serious violations
Users agree to release Doerly from claims arising out of disputes with other users.
10. Intellectual Property
All Platform content (excluding User Content), including:
- Logos
- Branding
- Design
- Software
- Trademarks
Are owned by Doerly or licensed to us.
You may not:
- Copy
- Modify
- Reverse engineer
- Redistribute
Without prior written permission.
11. Third-Party Services
The Platform may contain links or integrations with third-party services.
We:
- Do not control third-party services
- Are not responsible for their content, policies, or actions
Your use of third-party services is at your own risk.
12. Disclaimer of Warranties
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.”
We disclaim:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability of content
- Uninterrupted or error-free service
We do not guarantee that the Platform will meet your expectations.
13. Limitation of Liability
To the maximum extent permitted by law:
Doerly shall not be liable for:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or goodwill
Our total liability shall not exceed:
- The amount you paid to Doerly in the past 12 months, OR
- $100 USD, whichever is greater.
14. Indemnification
You agree to defend, indemnify, and hold harmless Doerly and its officers, employees, and affiliates from any claims, damages, liabilities, and expenses arising from:
- Your use of the Platform
- Your violation of these Terms
- Your infringement of third-party rights
15. Termination
We may:
- Suspend or terminate accounts at any time
- Remove content
- Restrict access
Upon termination:
- Your license to use the Platform ends immediately
- Certain provisions (liability, indemnification, etc.) survive termination
16. Privacy
Your use of the Platform is also governed by our Privacy Policy.
By using Doerly, you consent to:
- Collection
- Use
- Storage of data
As described in our Privacy Policy.
17. Governing Law
These Terms are governed by the laws of:
Massachusetts, United States, without regard to conflict of law principles.
18. Arbitration & Class Action Waiver
Any dispute arising out of these Terms shall be resolved through:
- Binding arbitration
- On an individual basis
- Not as part of a class action
You waive your right to:
- Jury trial
- Class action participation
19. Changes to Terms
We may update these Terms at any time.
Continued use of the Platform after updates constitutes acceptance.
20. DMCA / Copyright Policy (If U.S.)
If you believe content infringes your copyright, submit notice including:
- Identification of copyrighted work
- Location of infringing material
- Your contact information
- Statement under penalty of perjury
We may remove allegedly infringing material.
21. Force Majeure
We are not liable for failure to perform due to events beyond our control, including:
- Natural disasters
- Government actions
- Internet failures
- Cyberattacks
22. Severability
If any provision is found invalid, the remaining provisions remain enforceable.
23. Entire Agreement
These Terms constitute the entire agreement between you and Doerly.
